4.1 Clarification of Role with Principal Data
We act as a service partner to execute campaigns or engagements as defined by the Principal. We are not responsible for how the Principal has explained our role, services, or platform to the data subject. Any misrepresentation or omission by the Principal does not constitute liability on our part.
5. Acceptable Use Policy
You agree to use our services only for lawful and authorized purposes. You shall not:
- Breach any applicable laws or regulations
- Engage in unauthorized access or attempt to reverse-engineer our systems
- Use our platform to spread malware, spam, or harmful content
- Impersonate another individual or submit false information
Violation of this Acceptable Use Policy may result in immediate suspension or permanent ban from our services.
6. Intellectual Property Rights

Where we are acting solely as a data processor or communication facilitator on behalf of a Principal (e.g., in lead management, engagement campaigns, or loyalty programs), we are not liable for the correctness, legality, or prior consent associated with that data. We do not assume any responsibility to validate or audit the origin, nature, or extent of consent associated with such data. By processing such data solely under instruction, we act as a service provider and not as a data controller.
The Principal is solely responsible for ensuring that lawful, verified consent exists and indemnifies us against any breach arising from its absence. We act in good faith on the data supplied by our Principals and cannot be held responsible for any adverse consequences, losses, or disputes arising from such data use, provided we have followed industry-standard practices and complied with our defined role under the engagement.
Our total aggregate liability for any claim arising out of or in connection with your use of the services shall not exceed the total amount paid (if any) by you directly for use of the services in the preceding 2 months.
10.1 Campaign Performance Disclaimer
While we strive to provide the highest quality of service, we make no guarantees regarding the outcome, success rate, or return on investment from any marketing, promotional, or incentive program implemented via our platform. Results may vary due to factors beyond our control including market trends, customer behavior, and external competition.
11. Indemnity
You agree to indemnify, defend, and hold harmless Innovative Incentives & Rewards Pvt Ltd and its affiliates, officers, directors, agents, employees, and licensors from and against all losses, claims, damages, liabilities, and expenses arising from your:
- Violation of these Terms
- Misuse of the services
- Infringement of third-party rights
12. Termination
12.1 General Termination
We reserve the right to suspend or terminate your account or restrict access to our services, at our sole discretion, with or without notice, for any reason including breach of these Terms or violation of law. Termination does not release you from any prior obligations incurred.
12.2 Abusive or Disrespectful Behavior
Innovative Incentives & Rewards Pvt Ltd maintains a zero-tolerance policy toward abusive, threatening, harassing, or disrespectful behaviour directed toward our employees, partners, systems, or representatives. This includes verbal abuse, written abuse, social media harassment, or any other form of misconduct.
We reserve the right to immediately and permanently block, suspend, or deny access to any individual or entity—whether a direct user or one introduced via a Principal—who engages in such behavior. Such users or entities will be blacklisted indefinitely and refused any future service or engagement from our end, regardless of context.
This policy applies equally to users of our platforms and contacts or customers introduced by our Principals.
12.3 Right to Refuse Service
We reserve the right to decline, reject, or discontinue any service request or engagement, whether from a direct customer or on behalf of a Principal, if it is found to be misaligned with our values, resource availability, compliance policies, or potential reputational risk.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes shall fall under the exclusive jurisdiction of the courts located in Chandigarh, India.
14. Modifications to Terms
We may revise or update these Terms periodically. Significant changes will be communicated via our website. Continued use of our services after changes take effect constitutes your acceptance of the revised Terms.
